Referral Program Terms & Conditions

These Referral Terms & Conditions (“Terms”) govern all referral arrangements made through Register Commercial (legal name: Patrick Register Commercial Real Estate Co), a licensed real estate firm in North Carolina (Firm License #C34749). The company is a wholly owned S-Corporation of Patrick Register, who serves as the Qualifying Broker (License #233487 NC, #111829 SC).

Register Commercial operates as a team affiliated with Coldwell Banker Realty (NC Firm License #C26002, SC Firm License #9958). All brokerage activities of Patrick Register are conducted under Coldwell Banker Realty.

Payment of referral fees:

  • Coldwell Banker Realty collects all commissions for transactions.
  • Referral fees are disbursed directly to the referring broker by Coldwell Banker Realty.
  • The remainder of the commission is then paid by Coldwell Banker Realty to Patrick Register Commercial Real Estate Co.

By submitting a referral, you acknowledge and agree to the following Terms, as well as the use of the NC Realtor® Standard Form 543 Referral Agreement.

1. Referral Eligibility

  • Referrals must be submitted before Patrick Register or any member of Register Commercial has made contact with the prospect.
  • A referral applies only to the specifically named individual or company submitted and does not extend to unrelated parties, affiliates, or future introductions.
  • Referrals of expired or withdrawn listings within the last 90 days will not be accepted.
  • Register Commercial reserves the right to decline referrals at its discretion.

2. Documentation Requirements

  • All referral arrangements must be documented using the NC Realtor® Standard Form 543 Referral Agreement.
  • No referral fee will be recognized without a fully executed agreement signed by both parties prior to substantive discussions with the prospect.
  • Referral agreements are non-transferable and apply only to the referring agent of record.
  • A referral is valid only once acknowledged in writing by Patrick Register.

3. Referral Fee Structure

Referral fees are paid on a tiered schedule based on the number of calendar days between the effective date of a fully executed listing agreement with the referred seller and the closing of the sale of the listed property:

  • 25% if closing occurs within 0–90 days
  • 20% if closing occurs within 91–365 days
  • 15% if closing occurs within 366–730 days
  • 10% if closing occurs within 731–1,095 days

After 1,095 days, no referral fee will be owed.

4. Payment Conditions

  • Referral fees are calculated only on the listing side commission actually received by Coldwell Banker Realty, net of co-brokerage splits, adjustments, or concessions.
  • Referral fees are payable only from net commission proceeds actually collected. If no commission is received, no referral fee will be owed.
  • Referral fees will be net of any legal fees, collection costs, or other expenses required to recover commission owed.
  • Payment will be made only after funds have cleared into Coldwell Banker Realty’s trust or operating accounts.

5. Scope of Engagement

  • Submission of a referral does not guarantee that Register Commercial will enter into a listing, representation, or transaction with the prospect.
  • Register Commercial reserves the right to decline engagement with any referred prospect for any reason.
  • Referral recognition does not grant the referring agent any right to direct negotiations, strategy, or client communications.

6. Confidentiality & Communication

  • Register Commercial will provide reasonable updates regarding referral status, subject to client confidentiality obligations.
  • Referring agents will not be provided with confidential or privileged information concerning the client, transaction, or negotiations.
  • Updates are intended only to confirm that the referral is being handled and to allow the referring agent to maintain a relationship with their prospect.

7. Dispute Resolution

  • Any disputes concerning referral fees must be resolved in accordance with the executed written agreement (NC Realtor® Standard Form 543) and these Terms.
  • Verbal agreements, text messages, or informal communications do not constitute enforceable referral arrangements.

8. Limitation of Liability

  • Register Commercial, Patrick Register, Coldwell Banker Realty, or Patrick Register Commercial Real Estate Co. shall not be liable for lost opportunities, anticipated referral fees, or any indirect or consequential damages.
  • Referral fees are limited exclusively to the amounts described herein.

9. Amendments

  • Register Commercial may update or amend these Referral Terms & Conditions at any time.
  • The version of the Terms in effect on the date a referral is submitted will govern that referral.

By submitting a referral to Register Commercial, whether through this website, Jotform, or any other written form, you acknowledge that you have read, understood, and agree to these Referral Terms & Conditions.

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Register Commercial (“we,” “us,” or “our”), concerning your access to and use of the https://www.registercommercial.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms and Conditions; and (4) you will not use the Site for any illegal or unauthorized purpose.

4. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

5. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") you provide to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

6. Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms and Conditions; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of your contributions or any portion thereof.

7. Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON.

8. Governing Law

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of North Carolina applicable to agreements made and to be entirely performed within the State of North Carolina, without regard to its conflict of law principles.

9. Disclaimers

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK.
